Standard Commercial Terms and Conditions of Sale
APPLICATION, GENERAL DEFINITIONS AND ENTIRE AGREEMENT
- The Company: PartsFe UK
- The Buyer: the individual, business, or organization entering into a contract with the company, as well as any delivery address the buyer specifies in connection with an order.
- The Contract: any agreement for the sale and purchase of goods on these terms and conditions made between the buyer and the company.
These terms and conditions will be applicable when the buyer (customer) purchases the goods included in our quotation from us (Supplier).
These terms and conditions, which shall comprise the whole agreement between us and the customer, will be considered acknowledged when you/customer accept the quotation or on the day the items are delivered, whichever comes first.
The quotation and these terms and conditions (collectively, the Contract) govern the purchase and sale of any goods between you/customer and us.
GENERAL INTERPRETATION & DEFINITIONS
- A business day is any day other than a Saturday, Sunday, or bank/national holiday and public holiday.
- Titles of these Terms and Conditions are merely for convenience and have no bearing on how they are interpreted.
- The plural is included in words that convey the singular number, and vice versa.
DESCRIPTION OF GOODS
- The material in our catalog, brochures, and website is published only to provide an approximate sense of the goods represented.
- Despite our best efforts to ensure that the product specifications, measurements, prices, and drawings are accurate, the products supplied may change slightly from the image in the catalog, brochure, or website due to constant improvements.
- Our quotation and/or sales order contain the goods' description. You agree that you have not relied on any of our promises, statements, or other representations regarding the goods by accepting the quotation and/or sales order. Our sales documentation's descriptions of the goods are meant only as a reference.
An order by the buyer to purchase the Goods subject to these conditions.
ORDERS
- The buyer is accountable to the company for making sure that any orders are accurate.
- Trial sales are not offered for goods. Before placing an order, the buyer should review the specs and suitability. The buyer confirms that they have reviewed the product(s)' specifications and suitability by placing an order with the company. The company makes no guarantees for the products' specifications for particular uses or for any items that don't fit the buyer's property, including doorway and entry point sizes.
- Orders which have been accepted by the Company may be canceled depending on the stock at the time of shipment or circumstances, if there is fraud involved or if the ordered item is no longer available at the time of shipment.
PRICE OF GOODS
- Value Added Tax (VAT) is exclusive of the price of the goods, which will be charged at the applicable rate at the date of invoice.
- Unless specified as inclusive, the indicated price may be subject to delivery fees.
- Prices quoted are for the supply of the goods only and NOT inclusive of installation.
- European clients who are outside the UK must present a legitimate VAT code for their business, or else they will be subject to an additional 20% UK tax fee.
- Any discounts offered to the customers will be at our discretion.
- The quoted prices may vary if the prices are updated from the quotation date.
- All the orders placed on our website are subject to acceptance.
- Unless otherwise agreed, full payment is required at the time of ordering the goods.
DELIVERY
- Within the time frame specified by the seller, the goods must be delivered to the delivery address listed on the buyer's purchase order.
- All listed delivery times are approximations.
- When the buyer placed an order, the company will make every effort to deliver the items by the specified time. Even if the buyer pays an additional fee for a timed or guaranteed service, there is no guarantee that any such delivery will occur. The buyer explicitly agrees that the company will not be held accountable for any late or non-delivered items, nor will it be held liable for any expenses paid by the buyer.
- If you refuse to accept delivery of the products or if your delivery instructions are insufficient or inaccurate, we may hold the goods until they are delivered and bill you for all appropriate storage expenses (including insurance).
- The products must be inspected at delivery or pickup. You have 24 hours from the date of delivery to notify us in writing of any damages, delivery of wrong parts or shortages, along with any relevant information and, if feasible, photographic proof. You must allow a reasonable opportunity for us and/or any carrier to examine the damaged items.
- Returning the goods is at your risk and expense.
- If the goods do not meet your needs, you have the right to reject them.
- The company accepts or assumes no liability for delivery delays, regardless of the cause, and the delivery times provided are merely approximations.
- Orders will be delivered by the company using its stock.
Deliveries are only done to the curbside. The buyer is in charge of making sure that sufficient arrangements and resources are made in order to deliver the item or items to their location. The company disclaims any liability for the buyer's carelessness or failure to verify that all items would fit on their property. We may decline to deliver the orders if we think that the buyers’ premises are unsuitable for the shipping vehicle or that it would be unsafe, unlawful or unreasonably difficult to do so.
When the items are delivered, it is the buyer's responsibility to inspect them. Unless written notice is received within 24 hours of the delivery date and time, the company assumes no liability for any alleged non-delivery, shortage of goods, delivery damage, or other discrepancy. The buyer will be presumed to have accepted the items if no notification is given.
RETURNS
- There will be no cancellation of the orders once the orders are placed.
- Returns are allowed within 30 days from the date of the order acceptance
- Incorrectly ordered goods may only be returned with prior authorization from the company. Returning goods without prior authorization is not accepted. The company must provide a Return Merchandise Authorization Number (RMA Number) before the item can be returned. Requests to cancel are ONLY accepted by email [email protected]); Return requests through phone calls or chats will not be accepted.
- Only properly packaged items in their original, undamaged packaging, with their original manuals, and without any signs of use will be accepted.
- Cancellation rights are valid for only seven working days of receipt of delivery.
- Printed circuit boards that are no longer sealed in the original packaging unused are not eligible for refund.
You will be able to return items to us ONLY:
- By our previous agreement (verified in writing)
- Upon payment of a predetermined handling or restocking fee
- And the returned goods are unused, undamaged, and in their original packaging of delivery
The buyer is responsible for paying all return shipping charges. Additionally, the buyer must ensure that the returning goods are properly insured while being transported to the company. We disclaim all responsibility for any loss or damage to items during transportation that are being returned. The buyer alone is liable for this.
WARRANTIES
Except the warranty provided by the original manufacturer, we provide no other guarantees (and disclaim any implied warranties, terms, or conditions) regarding the quality of the products or their suitability for any given use.
SPECIFICATIONS
The quality and description of the goods provided on our website are from the manufacturers.
As the Buyer, you must ensure that the provided items will be suitable for the use for which you intend to use them, and won't violate any applicable laws or regulations or infringe upon any third party's intellectual property rights.
LIABILITY
The Company accepts no liability of whatever nature resulted from any representations, breach of contracts, late delivery of product, negligence or otherwise.
The Company specifically disclaims all liability for any claims, losses, demands, or damages of any kind relating to the use of its website, brochures, catalogs, or other forms of literature, or any misleading information or omissions it may contain. This includes, but is not limited to, direct, indirect, incidental, or consequential loss or damages, whether resulting from loss of revenue, loss of data, loss of profits, or other circumstances. Your statutory rights, if any, as a consumer are unaffected.
Any default brought on by an act of God, a war, a strike, a lockout industrial action, a fire, or any other circumstance outside of either party's reasonable control will not subject either party to liability.
LAW
All disputes arising of this contract shall be subject to the jurisdiction of the courts of England & Wales.
